PLEASE NOTE:
- We require all prospective Resellers / Sub-Distributors to read and agree to our Reseller / Sub-Distributor Terms and Conditions below BEFORE applying to become a reseller of our Memorials and Urns of our indoor and outdoor urns on offer.
- Once you have read and agreed to our Reseller T & Cs you can apply to become a reseller by the link at the bottom of the page.
- Companions Rest Memorials™ ( herein after C.R.M )
C.R.M has adopted this Resale Policy to advise you of the conditions applicable to your sale or offering for sale, of products purchased from us.
This Resale Policy applies to all products that you purchase through C.R.M whether it’s through our website or through phone or email orders.
If you do not agree to this Resale Policy, you are expressly prohibited from purchasing products from Companions Rest Memorials™.
Companions Rest Memorials™ authorizes Veterinarians, Veterinarian Groups and Clinics, funeral homes, cemeteries, and cremation providers, Palliative Care Nurses & In-Home Euthanasia Service Providers, and appointed resellers etc with presences (“Authorized Resellers”), to resell products purchased from Companions Rest Memorials™ to end consumers .
All others are prohibited from purchasing or reselling products from Companions Rest Memorials™.
Authorized Resellers may resell products purchased from Companions Rest Memorials™ to customers of their brick-and-mortar businesses and Authorized Resellers must use their best efforts to ensure that only customers of their businesses purchase products that were sold by Companions Rest Memorials™ to them.
Authorized Resellers are expressly prohibited from the following:
- Selling products online, through large ecommerce market places including, but not limited to, through Ebay, Amazon.com, Etsy.com, Walmart.com, Jet.com, Overstock.com, or Alibaba.com, or other, third-party stores, auction houses, or marketplaces;
- Selling products to customers of Companions Rest Memorials™ its parents, subsidiaries, or affiliates; or
- Selling or distributing products to any other businesses, including, but not limited to, in a business-to-business transaction, to a drop-shipper, or to another reseller.
Authorized Resellers are also prohibited from advertising, promoting, marketing, or offering for sale any products sold to them by Companions Rest Memorials for resale to any third-party other than their brick-and-mortar customers. Any use of product images and promotional material must comply with our licensing policy, available upon request.
If an Authorized Reseller violates this Resale Policy, Companions Rest Memorials reserves the right to seek removal of any unauthorized products from online stores or marketplaces or to terminate your account with Companions Rest Memorials™.
Minimum Advertised Pricing Policy ( MAPP )
Companions Rest Memorials™ ( herein after C.R.M ) has been building a brand of strong recognition and a high-perceived value since Mid-2021. To ensure our products’ brand and equity, sustain attractive global price levels, and to support a healthy resell channel, we maintain integrity using a MAP pricing strategy ( Minimum Advertising Pricing ).
Effective JANUARY 1st 2022, C.R.M requires a minimum advertised price (MAP) on all products manufactured, distributed or sold by C.R.M or any of its supply chain partners (“Resellers”), divisions, affiliates or related entities. The MAP will be supplied by Companions Rest Memorials™ and described in a price list for all resellers.
This pricing shall only be adjusted by Companions Rest Memorials™, at its sole discretion.
OBJECTIVES of MAP
- To ensure global reseller relationships are consistent and value-based.
- To maintain proper positioning of all C.R.M products in the marketplace.
- To prevent Resellers “ Dumping Product – Smashing R.R.P “ on or via the likes of eBay, AMAZON, Alibaba, etc. and undercutting the likes of our Key Reseller Partners, Pet Cremation Business Large & Small, Veterinarians, Vet Clinics, Pet Grief Counsellors, Palliative Care Doctors and Nurses et.al.
GUIDELINES of MAP
- Resellers may advertise all C.R.M products at or above the MAP.
- As a Reseller- advertising on / via YOUR OWN WEBSITE at FULL RETAIL is totally understood and supported.
- Permission may be asked for & granted upon application – BUT NO DISCOUNTING will be tolerated – offering more to secure a Sale is YOUR business.
- A reseller shall not advertise C.R.M products for a price less than the MAP.
- Dealers are strictly prohibited from removing or altering any labelling, or re-labelling or re-packaging any C.R.M product, packaging or material.
- The MAP will be conveyed to resellers in a price list on or before January 1 for products offered for that calendar year.
- Updates will be provided throughout the year for new products.
- All information will be updated and available on the Companions Rest Memorials™ reseller website.
- The MAP policy applies to all advertising of Companions Rest Memorials™ products in all media, including, without limitation, billboards, newspapers, magazines, catalogs, brochures, direct mail, retail flyers, television, radio, eCommerce, forums, and dealer internet sites or any other method which uses the hypertext transfer protocol (“http” or “https”) or any internal link to a web-based shopping cart shall be considered advertising for the purposes of this policy.
- Any advertised price, coupons, or discounts, whether verbal or written, which results in an effective advertised price lower than the MAP will be considered a violation of the / this MAP policy.
- Companions Rest Memorials™ will not allow discount codes in print or verbal on any Companions Rest Memorials™ product.
- Companions Rest Memorials™ may occasionally suspend the MAP on product(s) for promotional or other purposes.
- All resellers will be notified via the Companions Rest Memorials™ reseller website, email or directly from their Companions Rest Memorials™ representative.
- Companions Rest Memorials™ reserves the right to adjust the MAP on any product at its sole discretion. Companions Rest Memorials™ will provide at least five days advanced written notice in order to apply the changes equally to all resellers.
- The MAP policy applies to advertised prices.
- Intentional or repeated failure to comply with this policy will result in reseller price increase, shipment suspension, and Reseller suspension or reseller termination.
- Questions regarding planned advertising can be submitted to your Companions Rest Memorials™ representative for discussion and support.
- Marketing support is available on a Case by Case basis directly from the Companions Rest Memorials™ Marketing Department- via email :- sales@companionsrestmemorials.com
Companions Rest Memorials™ reserves the right to modify this policy at any time and within its sole and absolute discretion.
Your continued purchase of any products from Companions Rest Memorials™ after a modification of this policy constitutes your manifestation of assent to such change or modification.
This Reseller / Sub-Distributor Resale Policy is subject to Companions Rest Memorials™ Terms of Service, which are available here and may be updated by Companions Rest Memorials™ from time to time.
